(“Streamex,” “we,” “us,” or the “Company”) was originally formed as a Nevada corporation in February 2009 and reincorporated in Delaware in April 2011 through a merger with its wholly owned Delaware subsidiary, with the Delaware entity surviving. On May 28, 2025, the Company completed the acquisition of Streamex Exchange Corporation (“Streamex Exchange”), a corporation incorporated under the laws of British Columbia on April 5, 2024. The acquisition was consummated pursuant to a share purchase agreement dated May 23, 2025, as amended (the “Share Purchase Agreement”). 3 The Streamex Exchange acquisition was structured through the issuance of exchangeable shares by the Company’s wholly owned British Columbia unlimited liability company subsidiary (“ExchangeCo”).
