A. History and Development of the Company Innate's legal name and commercial name is Innate Pharma S.A. The Company was incorporated under the laws of France on September 23, 1999, as a société par actions simplifiée, for a term of 99 years, and converted into a société anonyme, or S.A., on June 13, 2005. Following the approval of its shareholders at the Annual General Meeting held on May 22, 2025, the Company has transitioned from an Executive Board and Supervisory Board corporate governance structure to a Board of Directors structure with a 72 Chief Executive Officer. The Board of Directors then decided, on the same day, following the Annual General Meeting, to separate the functions of Chairman of the Board and Chief Executive Officer (see “Item 6.
